Terms of Service

Introduction

These Terms of Service (“Terms”) govern your use of adzyon.com and any services provided by Adzyon LLC (“Adzyon”, “we”, “our”, or “us”). Adzyon is a performance marketing and growth company headquartered in the United Arab Emirates, operating across UAE, the Kingdom of Saudi Arabia, and global markets.

These Terms apply to all visitors to adzyon.com, all prospective clients who submit enquiries or attend strategy sessions, and all clients who enter into a formal engagement with Adzyon. Where a separate engagement letter, proposal, or statement of work (“SOW”) has been agreed, those documents govern the specific engagement and these Terms apply as a baseline where not superseded.


Acceptance of Terms

By accessing adzyon.com, submitting an enquiry form, booking a strategy session, or entering into a service engagement with Adzyon, you confirm that you have read, understood, and agree to be bound by these Terms.

If you are accessing adzyon.com or engaging Adzyon on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms. In that case, “you” refers to the entity and not the individual acting on its behalf.

If you do not agree to these Terms, you must not use this website or engage Adzyon's services.


Services Provided

Adzyon provides performance marketing and growth services to business clients. Our core service areas include:

  • Paid media management — planning, execution, and optimisation of paid advertising campaigns across platforms including Meta, Google, TikTok, and other digital channels
  • Conversion rate optimisation (CRO) — analysis, testing, and improvement of landing pages, funnels, and on-site conversion flows
  • Tracking and analytics — implementation and management of tracking infrastructure including server-side event tracking, attribution systems, and measurement frameworks
  • Affiliate growth systems — design, launch, and management of affiliate partner programmes
  • Creative systems — development and management of performance creative including ad creative, testing pipelines, and creative strategy
  • Growth strategy — strategic consulting on growth architecture, market entry, GCC expansion, and performance operating systems

The specific scope of services for each engagement is defined in the relevant proposal or SOW. Adzyon reserves the right to decline or discontinue services at its discretion, including where a proposed engagement falls outside our capability or conflicts with our operating standards.


No Guaranteed Results

Marketing and advertising outcomes depend on a large number of factors outside Adzyon's direct control, including but not limited to: market conditions, advertising platform algorithm changes, product-market fit, offer strength, competitive landscape, consumer behaviour, and macroeconomic conditions.

Adzyon does not guarantee specific results including revenue targets, return on ad spend (ROAS), cost per acquisition (CPA), lead volumes, or any other performance metric. Any projections, benchmarks, or case study outcomes shared during the sales process or discovery phase are illustrative only and do not constitute a warranty of future performance.

We apply rigorous methodology, senior expertise, and systematic testing to maximise the probability of strong outcomes. However, past performance — whether our own or from industry benchmarks — does not guarantee future results.


Client Responsibilities

Clients engaging Adzyon for services are responsible for the following:

Access and information

  • Providing timely access to advertising accounts, analytics platforms, tracking systems, and other tools required for the engagement
  • Supplying accurate and complete information about the business, products, target audience, and performance history
  • Notifying Adzyon promptly of material changes to the business, product, pricing, or market strategy

Content and approvals

  • Providing brand assets, product information, and creative direction in a timely manner when required
  • Reviewing and approving deliverables, ad creative, and campaign strategies within agreed timeframes
  • Ensuring that all content, offers, and claims provided to Adzyon for use in campaigns are accurate, legally compliant, and do not infringe third-party rights

Platform compliance

  • Maintaining advertiser accounts in good standing with relevant platforms
  • Ensuring the business, products, and advertising content comply with platform policies across Meta, Google, TikTok, and any other channels used
  • Promptly addressing platform policy violations or account issues that affect campaign delivery

Delays caused by the client's failure to provide required access, approvals, or information in a timely manner may affect delivery timelines. Adzyon is not responsible for delays or underperformance attributable to client-side blockers.


Proposals, Pricing, and Payments

Engagements with Adzyon are formalised through a written proposal or SOW that sets out the scope of work, fees, and payment terms. The following general terms apply unless a specific engagement document states otherwise:

  • Proposals are valid for 14 days from the date of issue unless a different period is stated
  • Engagements begin upon written acceptance of a proposal by both parties
  • Invoices are issued in accordance with the payment schedule set out in the relevant proposal
  • Payment is due within the number of days stated on the invoice, typically 7 or 14 days from invoice date
  • Late payments may incur interest at a rate of 2% per month on the outstanding balance, or the maximum rate permitted by applicable law, whichever is lower
  • Ad spend, platform fees, and third-party tool costs are billed separately unless explicitly included in the agreed fee
  • All fees are exclusive of applicable taxes, including VAT where applicable in the UAE or other jurisdictions

Where a client fails to make payment by the due date, Adzyon reserves the right to suspend services until the outstanding balance is settled. Suspension of services due to non-payment does not constitute a breach of contract by Adzyon.


Intellectual Property

Client-owned assets

Brand assets, product content, imagery, and other materials provided by the client to Adzyon remain the intellectual property of the client at all times. The client grants Adzyon a limited licence to use these materials solely for the purpose of delivering the agreed services.

Adzyon methodology and frameworks

Adzyon's proprietary methodologies, frameworks, processes, templates, and system architectures — including those developed or refined during a client engagement — remain the intellectual property of Adzyon. Delivery of services does not constitute a transfer of this IP to the client.

Deliverables

Unless otherwise agreed in writing, ownership of specific deliverables (such as ad creative, landing page designs, or reports) transfers to the client upon receipt of full payment for the relevant work. Work in progress remains the property of Adzyon until payment is received.

All content on adzyon.com — including text, visuals, system diagrams, and case study frameworks — is the property of Adzyon LLC. Reproduction or redistribution without written permission is prohibited.


Third-Party Platforms and Tools

Many Adzyon services involve the use of third-party platforms including but not limited to Meta Ads, Google Ads, TikTok for Business, LinkedIn, and various analytics and marketing technology tools.

Adzyon is not affiliated with, endorsed by, or responsible for the policies, availability, or behaviour of these platforms. In particular:

  • Platform policies, ad approval processes, and algorithm changes are outside Adzyon's control and may affect campaign delivery or outcomes
  • Advertising account suspensions or restrictions imposed by platforms are the responsibility of the account holder; Adzyon will assist in resolution but cannot guarantee reinstatement
  • Platform outages, feature changes, or deprecations that affect agreed service delivery do not constitute a breach by Adzyon
  • Access credentials for third-party platforms are the client's responsibility; Adzyon handles them with appropriate security measures but cannot guarantee platform-side security

Clients are responsible for reviewing and complying with the terms of service of all platforms used as part of an Adzyon engagement.


Analytics, Advertising, and Tracking Tools

As part of delivering and improving our services, Adzyon may deploy or manage tracking and measurement technologies on behalf of clients. These include pixel tags, server-side event tracking, conversion APIs, and analytics platforms.

Where Adzyon deploys tracking infrastructure on a client's website or digital properties, the client:

  • Represents that they have the legal right to deploy such tracking on their properties and have obtained any required user consent under applicable law
  • Remains the data controller for data collected through their own website and properties
  • Is responsible for maintaining a compliant privacy policy and cookie notice on their own digital properties
  • Agrees to provide accurate information about their data practices to facilitate compliant implementation

Adzyon acts as a data processor when handling client data as part of tracking and analytics services and will process such data only for the purposes of delivering the agreed services.


Confidentiality

Both parties acknowledge that in the course of an engagement they may share information that is confidential in nature, including but not limited to business strategy, performance data, pricing, product roadmaps, and technical systems.

Each party agrees to:

  • Keep confidential information shared by the other party strictly confidential
  • Use confidential information only for the purpose of the engagement and not for any other purpose
  • Not disclose confidential information to third parties without prior written consent, except where required by law or regulation
  • Apply reasonable security measures to protect confidential information from unauthorised access or disclosure

Confidentiality obligations do not apply to information that: is or becomes publicly available through no fault of the receiving party; was already known to the receiving party prior to disclosure; is independently developed without reference to the confidential information; or is required to be disclosed by law, court order, or regulatory requirement.

These confidentiality obligations survive termination of the engagement for a period of two (2) years.


Limitation of Liability

To the maximum extent permitted by applicable law, Adzyon's total liability to a client for any claim arising from or related to an engagement — whether in contract, tort, or otherwise — shall not exceed the total fees paid by the client to Adzyon in the three (3) months preceding the event giving rise to the claim.

Adzyon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of revenue, profit, or anticipated savings
  • Loss of business opportunity or contracts
  • Loss of data or system corruption
  • Reputational damage
  • Costs of substitute services
  • Advertising spend losses attributable to platform policy changes or account suspensions

These limitations apply even if Adzyon has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain categories of liability; in such cases, Adzyon's liability is limited to the fullest extent permitted by law.


Termination

Either party may terminate an engagement in accordance with the notice period and conditions set out in the relevant proposal or SOW. Where no specific termination clause is stated, the following defaults apply:

  • Either party may terminate a month-to-month engagement by providing 30 days' written notice
  • Fixed-term engagements may be terminated early by mutual written agreement
  • Adzyon may terminate an engagement immediately if the client materially breaches these Terms or the engagement agreement and fails to remedy the breach within 10 business days of written notice
  • Adzyon may terminate immediately if the client engages in conduct that is unlawful, fraudulent, or violates platform policies in a manner that creates liability for Adzyon

Upon termination, the client remains responsible for payment of all fees for work completed up to the termination date, including any pro-rated monthly fees for the final period. Adzyon will provide a reasonable handover of campaign access and assets upon request, subject to all outstanding payments being settled.

Provisions of these Terms that by their nature should survive termination — including confidentiality, intellectual property, limitation of liability, and payment obligations — shall continue to apply following termination.


Changes to These Terms

Adzyon reserves the right to update or revise these Terms at any time. When changes are made, we will update the effective date at the top of this page. Material changes will be communicated to active clients via email or through the relevant engagement channel.

Continued use of adzyon.com or continued participation in an active engagement following the posting of updated Terms constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you should discontinue use of the website and, where applicable, provide notice of termination in accordance with your engagement agreement.


Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from or related to these Terms or an engagement with Adzyon shall be subject to the exclusive jurisdiction of the courts of [jurisdiction to be confirmed by legal counsel].

Where an engagement involves a client based in another jurisdiction, the governing law and dispute resolution mechanism applicable to that engagement may be specified in the relevant proposal or SOW.
